Our work together in no way creates any agency, partnership, joint venture, employee-employer or franchisor-franchisee relationship between you and BCA

 

Our Intellectual Property

Our website may contain our service marks or trademarks as well as those of our affiliates or other companies, in the form of words, graphics, and logos. Your use of our website or services does not constitute any right or license for you to use our service marks or trademarks, without the prior written permission of BCA. Our content, as found within our website and services, is protected under United States and foreign copyrights. The copying, redistribution, use or publication by you of any such content, is strictly prohibited. Your use of our website and services does not grant you any ownership rights to our content.

 

Content Disclaimer

We undertake no obligation to update any content on our website. We reserve the right to make alterations or deletions to the content at any time without notice.

 

Confidentiality

We uphold confidentiality in all communication regarding your brand and business. We will only communicate to those who have been authorized on your account and will not share any information provided with anyone outside our organization.

 

Volume of Work

If a single account makes an unusually high volume of requests in a single day, we may have to move some requests to a later turnaround than next day. We will do our best to work with you to accommodate any priority items. This amount will be determined by our team based on our current volume of work.

 

Next Business Day Defined

The “next business day” due date is assigned once a request or revision is assigned to a designer. Requests or revisions will not be assigned if they are unclear, vague or missing required assets and information. Normally any request or revision assigned before 10am EST will be completed by the next business day, no later than 5pm EST. Requests or revisions assigned after 5pm EST, during the weekend or on a US holiday will be completed within 2-3 business days thereafter. These timelines may change due to the nature of our business as ultimately determined by our volume of work. We will make every attempt to deliver it next business day, however this is a brand promise, not a guarantee. Standard turnaround time to receive a proof of concept on most projects (excluding logo design) is two (2) business days from the time the project was assigned to a designer.

Completion Date: A mutually agreed upon timeframe will be set upon receipt of non-refundable deposit.

Delays: Illness, injury, or other events beyond BCA control, such as: fire, theft, computer failure, and Acts of God

may result in a delay of unpredictable length. In this case, Unique Designz will notify the client immediately, and a new

completion date will be set.

Termination: If Agreement is terminated by the Client for any reason, BCA shall retain the total investment paid

up to the date of termination. Full (100%) refunds will not be issued under any circumstances.

Refunds: All deposits are non-refundable, unless something else is agreed upon.

Logo Design

Concepts: Within 7 business days of receiving your company information, BCA will create up to three (2) different logo concepts for your business. All logo concepts will be submitted for your review via E-mail. Once you select a logo concept, you are entitled to up to three (3) rounds of revisions. Further revisions will be billed at an hourly rate of $100 USD.

 

File Delivery: After the final logo design is approved, it will be delivered to you via digital files (.jpg, .pdf, and .eps graphics file formats).

Revisions: You are entitled to up to three (3) rounds of revisions. Further revisions will be billed at an hourly rate of $100 USD.

Ownership: You, the Client, have ownership of the final logo design for use in any media application that is beneficial to your business. However, BCA retains the right to use the final logo, or any versions of the logo created in the process, within printed and on-line portfolios, including promotional materials such as newsletters and advertisements. The Client also gives BCA permission to use Client’s full name, business address, and/or website address, for testimonial purposes on their website, or other business related media.

 

The Client understands that it is their responsibility to copyright their logo design (www.copyright.gov) and/or seek trademark (www.uspto.gov/main/trademarks.htm).

 

Payment: A 50% deposit is required before any work commences and the remaining payment is due when the final project is approved by the Client but before it is delivered. The Client understands that the final logo design belongs to BCA until paid in full. In the event of termination of this Agreement, BCA  owns the logo and has the right to complete, exhibit, and/or sell the logo design (not including business name). Furthermore, BCA owns all the logo design concepts created prior to the Client’s approval of the final logo design.

Refunds: All deposits are non-refundable.  

Print Design

Print design includes but is not limited to business cards, flyers, brochures, posters, advertisements, newsletters, postcards and other marketing collateral for profit or non-profit purposes.

 

Concepts: Within 7 business days of receiving your company information, BCA will create a design concept for your project. Designs will be submitted for your review via E-mail. If the Client is not a Designs on Demand member, a detailed cost proposal outlining the full scope of work will be provided.  Further revisions will be billed at an hourly rate of $200 USD.

 

Ownership: You, the client, have ownership of the final design for use in any media application that is beneficial to your business. However,BCA  retains the right to use the final design, or any versions of the design created in the process, within printed and on-line portfolios, including promotional materials such as newsletters and advertisements. The client also gives BCA permission to use client’s full name, business address, and/or website address, for testimonial purposes on their website, or other business related media.

Client Provisions: Client will provide all text to be used in print design, unless otherwise negotiated. Client agrees to provide copy and any other submissions in a timely manner.

 

Stock Photography: Any non-royalty bearing photos acquired by BCA for inclusion in the client’s print or web design remain the property of Unique BCA and may be used in multiple, separate projects. Should the client require full ownership of the provided photography, these terms must be disclosed in writing.

Sales Funnel / Web Design

Permissions: The client agrees to give access (usernames, passwords, and any other required permissions) to existing or future domain registration, hosting accounts, and affiliated service-providers as needed to accomplish the goals set forth in the written proposal. The client also authorizes BCA to publicize their completed Web site to Web search engines, as well as other Web directories and indexes, if this is included in the scope of the project.

Proposal: A detailed cost proposal outlining the full scope of work will be provided to the Client.  Additional work required to the project will incur additional costs. All prices specified in the contract will be honored for three (3) months after both parties agree to the terms. Continued services after that time will require a new agreement.

Client Provisions: Client will provide all text to be used in web pages, unless otherwise negotiated. Client agrees to provide copy and any other submissions in a timely manner.

Should the client require full ownership of the provided photography, these terms must be disclosed in writing.

The Client understands that the final web design belongs to BCA until all invoices are paid in full. In the event of termination of this Agreement, BCA owns the web design and has the right to complete, exhibit, and/or sell the design (not including business name). Once the final invoice is paid in full, the client has the right to use images of the web design in all media useful for business promotion and BCA reserves the right to display the web design for business promotional use.

Refunds: All deposits are non-refundable.  

 

Web Browsers: BCA will verify the design and functionality of all websites on the following internet browsers: Current versions of Internet Explorer, Firefox, and Safari. Should an update of any of these browsers results in the corruption of the website in part or in whole, the client understands that any revisions or corrections will be made at the client’s expense, billed at UBCA  current hourly rate of $100USD.

 

Completion Date: Date of completion will be mutually agreed upon by BCA and the Client. 

Delinquency: BCA reserves the right to remove web pages from viewing on the Internet until final payment is made. If case collection proves necessary, the client agrees to pay all fees incurred in that process.
